# Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "Server Owner", or "User") and **Atria**, a fiscally sponsored project of **The Hack Foundation** (d/b/a Hack Club), a 501(c)(3) nonprofit organization ("Atria", "we", "us", "our"). By adding Wren to your Discord server, using Wren, or accessing any part of the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

## 1. The Service

Wren ("the Service") is an AI-powered Discord assistant developed and operated by Atria. The Service includes:

* The Wren Discord bot and all functionality it provides within Discord servers
* The Wren REST API (where applicable)
* The Wren documentation and related web properties at `atriasafety.org`

Atria reserves the right to **add, remove, or modify any feature or aspect of the Service at any time without notice**. We are not obligated to maintain any particular feature indefinitely.

## 2. Eligibility

You must be at least **13 years of age** to use the Service, or such older age as may be required by the laws of your jurisdiction. By using the Service, you represent and warrant that you meet this requirement.

If you are using Wren on behalf of a Discord server or organisation, you represent that you have the authority to bind that server or organisation to these Terms.

## 3. Subscription Plans & Payment

### 3.1 Plans

Wren offers the following plans:

| Plan     | Price     | Monthly Message Allowance |
| -------- | --------- | ------------------------- |
| **Free** | $0        | 10 messages/month         |
| **Core** | $10/month | 1,000 messages/month      |
| **Pro**  | $25/month | 5,000 messages/month      |

### 3.2 Billing

Paid subscriptions are billed monthly through our payment processor, **Polar.sh**. By purchasing a paid plan, you authorise Polar.sh to charge the applicable fees to your selected payment method on a recurring monthly basis.

### 3.3 Small Server Discount

Discord servers with fewer than 500 members at the time of purchase may be eligible for a **25% discount for the first three months** of a paid plan. This discount is applied automatically at checkout where applicable and is non-transferable.

### 3.4 Price Changes

We may change the price of any plan at any time. We will provide **at least 30 days' written notice** (by email or via an announcement in our Discord server at [atriasfty.org/discord](https://atriasfty.org/discord)) before any price change takes effect for existing subscribers. Continued use of the Service after the new price takes effect constitutes your acceptance of the new price.

### 3.5 Message Limits

Message allowances reset on a **monthly rolling basis** from the date of your subscription. Unused messages do not roll over. If you reach your monthly limit, Wren will cease responding until your next billing cycle resets, or you upgrade your plan.

### 3.6 One Server Per Subscription

Each paid subscription is tied to **a single Discord server**. You may not use one subscription across multiple servers, share access, or transfer a subscription to a different server without cancelling and purchasing a new plan. If you require Wren on multiple servers, a separate subscription is required for each.

### 3.7 Server Deletion

If the Discord server associated with your subscription is deleted, your subscription will continue billing until you cancel it. It is your responsibility to cancel your subscription via `/wren manage` or by contacting <help@atriasafety.org> before or promptly after deleting your server. Atria is not responsible for charges incurred after a server is deleted if cancellation has not been completed.

## 4. Refunds

We handle refund requests **on a case-by-case basis** at our sole discretion. To request a refund, contact us at <help@atriasafety.org>. We are under no obligation to issue a refund but will consider reasonable circumstances.

**No refunds are issued for:**

* Partial months after a billing cycle has commenced
* Accounts terminated for violations of these Terms (see Section 7)
* Unused message allowance within a billing cycle

## 5. Acceptable Use

### 5.1 Prohibited Conduct

You agree not to use Wren to:

1. **Generate CSAM or any sexual content involving minors** — this is an absolute prohibition with zero tolerance.
2. **Generate content intended to facilitate real-world violence or terrorism**, including incitement, planning, or glorification of violent acts.
3. **Jailbreak, prompt-inject, or otherwise manipulate** the AI into ignoring its operating instructions, safety guidelines, or the policies of its underlying model provider.
4. **Automate or mass-query the API for resale**, including scraping responses at scale, building competing products on Wren's output, or reselling API access.
5. **Harass, stalk, or target specific individuals**, including using Wren to generate targeted abusive content, dox, or intimidate any person.
6. **Operate Wren within servers that violate Discord's Terms of Service** or Community Guidelines.
7. **Reverse-engineer, decompile, copy, or re-sell** Wren or any part of its underlying technology, or attempt to create a competing product derived from the Service.

### 5.2 Server Owner Responsibility

**As a Server Owner, you are fully responsible for all use of Wren within your server**, including use by your members. You agree to:

* Ensure your server members are made aware of Wren's presence and its applicable policies.
* Actively enforce compliance with these Terms among your members.
* Not configure Wren in ways designed to circumvent these Terms.

Atria may hold you accountable for prohibited conduct by your members as if you had committed that conduct yourself.

### 5.3 AI-Generated Content Disclaimer

Wren's responses are generated by AI and may be inaccurate, incomplete, or outdated. **Atria is not responsible for the factual accuracy of any content generated by Wren.** You should not rely on Wren's output for critical decisions, including but not limited to legal, medical, financial, or safety matters.

## 6. Intellectual Property

All intellectual property rights in and to Wren, including its software, design, name, logo, documentation, and all associated marks, are owned exclusively by **The Hack Foundation** (d/b/a Hack Club).

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for its intended purpose in accordance with these Terms.

You may **not**:

* Use the name "Wren", "Atria", the Atria or Wren logos, or any associated trademarks without prior written permission.
* Display "Powered by Wren" or similar attributions without prior written consent.
* Represent your server or product as affiliated with or endorsed by Atria or The Hack Foundation.

**Atria retains full ownership of all outputs generated by Wren.** Outputs are provided to you under your usage licence and do not constitute a transfer of intellectual property.

## 7. Termination & Suspension

### 7.1 Termination by Atria

We reserve the right to **suspend or terminate your access to the Service at any time, for any reason or no reason**, with or without prior notice, at our sole discretion. In the event of termination due to a violation of these Terms, no refund will be issued.

### 7.2 Termination for ToS Violations

If your account is terminated for a violation of these Terms (including but not limited to the Prohibited Conduct in Section 5), your subscription will be cancelled **immediately with no refund**.

### 7.3 Termination by You

You may cancel your subscription at any time via the Polar.sh customer portal (accessible via `/wren manage` in your server). Cancellation takes effect at the end of your current billing period. You will retain access to your paid plan until that date.

### 7.4 Effect of Termination

Upon termination or cancellation:

* Your access to Wren's paid features ceases.
* Your server's data (configuration, memory, audit logs) is retained for **30 days** following termination, during which time you may contact <help@atriasafety.org> to request an export. After 30 days, all data associated with your server is permanently deleted.

## 8. Service Availability

Atria will use commercially reasonable efforts to maintain **99% monthly uptime** for the Service. However, this is a **best-effort target and is not legally binding**. We do not guarantee uninterrupted or error-free availability of the Service and are not liable for any downtime, outages, or service degradation.

Planned maintenance will be announced in our Discord server where reasonably practicable.

## 9. Discontinuation

Atria reserves the right to discontinue or permanently shut down the Service at any time. In the event of a full discontinuation, we will provide **at least 60 days' notice to all active paid subscribers** via the email associated with their Polar.sh account, or via an announcement in our Discord server. A pro-rata refund for the unused portion of any prepaid subscription period may be offered at our discretion.

## 10. Force Majeure

Atria shall not be liable for any failure or delay in performance of the Service arising from causes beyond our reasonable control, including but not limited to: Discord platform outages or API changes, third-party AI provider downtime (including OpenRouter and its model providers), acts of God, natural disasters, internet infrastructure failures, DDoS attacks, government actions, or any other circumstance outside our reasonable control. In such events, our obligations under these Terms are suspended for the duration of the force majeure event.

## 11. Disclaimers

THE SERVICE IS PROVIDED **"AS IS"** AND **"AS AVAILABLE"** WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ATRIA AND THE HACK FOUNDATION EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

## 12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATRIA, THE HACK FOUNDATION, THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

**Atria's total cumulative liability to you for any and all claims arising out of or related to these Terms or the Service shall not exceed the amount paid by you to Atria in the three (3) months preceding the claim.** We operate as a nonprofit-affiliated project and disclaim financial liability beyond this amount to the fullest extent permitted by law.

## 13. Indemnification

You agree to indemnify, defend, and hold harmless Atria, The Hack Foundation, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

* Your use of the Service or your server members' use of the Service;
* Your violation of these Terms;
* Your violation of any third-party rights, including intellectual property or privacy rights;
* Any content submitted to or generated through the Service in connection with your server.

## 14. Dispute Resolution

### 14.1 Informal Resolution

Before initiating any formal dispute, you agree to first attempt to resolve the matter informally by contacting us at:

We will attempt to respond to all complaints within **14 business days**.

### 14.2 Binding Arbitration

If the dispute is not resolved informally within 30 days, **all disputes, controversies, or claims** arising out of or relating to these Terms or the Service — except as provided in Section 14.3 — shall be finally resolved by **binding arbitration** administered under the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed. Arbitration shall be conducted in English on a **remote / virtual** basis.

**BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.**

### 14.3 IP Infringement — Court Jurisdiction

Notwithstanding Section 14.2, any claim arising from or related to actual or alleged infringement of Atria's or The Hack Foundation's intellectual property rights may be brought in a court of competent jurisdiction. Both parties consent to the exclusive jurisdiction of the courts located in the **State of California, United States** for such matters.

### 14.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the **State of California, United States**, without regard to its conflict of law provisions.

## 15. Changes to These Terms

We may update these Terms at any time. When we do, we will update the "Last Updated" date above. **Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.** We encourage you to review these Terms periodically.

For material changes, we will make reasonable efforts to notify active paid subscribers via our Discord server or Polar.sh email.

## 16. Miscellaneous

* **Entire Agreement:** These Terms, together with our [Privacy Policy](/legal/privacy-policy.md), constitute the entire agreement between you and Atria regarding the Service.
* **Severability:** If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
* **No Waiver:** Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
* **Assignment:** You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
